By accessing or using software products provided by Asso Technologies Ltd ("we", "us", or "our"), including Asso Mesh and any associated documentation, APIs, or SDKs ("Software"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Software.
Asso Technologies Ltd develops protocol-layer software for peer-to-peer energy sharing, including the Asso Mesh matching engine, firmware, and associated tooling. The Software is licensed to energy operators, DSOs, CER operators, NGOs, and deployment organisations. It does not constitute financial advice or investment advice of any kind.
Subject to the terms of a separate licensing agreement or order form, we grant you a limited, non-exclusive, non-transferable licence to use the Software for the purposes defined in that agreement. Unless otherwise specified in writing, you may not:
Where an IP Transfer agreement is in place, ownership and rights transfer in full as specified in that agreement, and these standard terms do not apply to the transferred IP.
Licensing fees, payment schedules, and pricing structures are defined in individual licensing agreements or order forms. All fees are quoted exclusive of VAT unless stated otherwise. Invoices are payable within the terms stated on each invoice. We reserve the right to suspend access to hosted services for overdue accounts.
All intellectual property in the Software, including firmware, source code, matching engine, documentation, and hardware designs, remains the property of Asso Technologies Ltd unless expressly transferred under a separate written IP Transfer agreement.
The Software is provided in good faith and in accordance with its documentation. However, to the maximum extent permitted by law, the Software is provided "as is" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Software will operate without interruption or error in every environment, or that all defects will be corrected.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSO TECHNOLOGIES LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
You agree to indemnify and hold harmless Asso Technologies Ltd from any claims, losses, damages, liabilities, costs, and expenses arising from your use of the Software, your deployment decisions, or your violation of these Terms.
We may terminate or suspend your access to the Software immediately, without prior notice, for material breach of these Terms or any applicable licensing agreement. Upon termination, your licence to use the Software will immediately cease. Provisions which by their nature should survive termination shall do so.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting updated Terms on our website. Your continued use of the Software after such modifications constitutes acceptance of the updated Terms.
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
